These Terms & Conditions ("Terms") govern your access to and use of HEALQ's websites, applications, and services. By using our services, you agree to these Terms.
1. Agreement
By creating an account, accessing the platform, or using any HEALQ service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the services.
2. Services
HEALQ provides cloud-based software for clinics and healthcare practices, including scheduling, billing, documentation, communications, and related features as described on our website or in your order form. We may update, modify, or discontinue features with reasonable notice where practicable.
3. Accounts & eligibility
You must provide accurate registration information and keep credentials secure. You are responsible for all activity under your account. You must be legally able to enter into contracts in your jurisdiction and, where applicable, authorized to bind your organization.
4. Customer data & compliance
You retain ownership of patient and business data you submit. You grant HEALQ a license to host, process, and use that data solely to provide and improve the services, as described in our Privacy Policy and any data processing terms. You are responsible for obtaining required consents and for using the services in compliance with applicable laws (including healthcare, privacy, and professional regulations).
5. Acceptable use
You agree not to:
- Violate laws or third-party rights
- Upload malware, probe, or attack our systems
- Scrape, resell, or reverse engineer the service except where permitted by law
- Use the service to send unlawful or unsolicited communications
- Misrepresent identity or affiliation
6. Fees & payment
Paid plans are billed according to the pricing and billing cycle you select. Fees are non-refundable except as required by law or expressly stated in writing. Late payment may result in suspension of access.
7. Intellectual property
HEALQ and its licensors own all rights in the software, branding, and documentation. Except for the limited right to use the services under these Terms, no rights are granted to you.
8. Disclaimers
The services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. HEALQ does not provide medical advice; clinical decisions remain your responsibility.
9. Limitation of liability
To the maximum extent permitted by applicable law, HEALQ and its suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill. Our aggregate liability for any claim arising out of these Terms or the services shall not exceed the amounts you paid us in the twelve (12) months before the claim (or, if none, one hundred dollars).
10. Termination
You may stop using the services at any time. We may suspend or terminate access for breach of these Terms, non-payment, legal risk, or extended inactivity as permitted by law. Provisions that by nature should survive will survive termination.
11. Governing law
These Terms are governed by the laws of the jurisdiction specified in your master agreement, or otherwise the laws applicable where HEALQ operates its primary business, without regard to conflict-of-law rules.
12. Changes
We may update these Terms from time to time. We will post the revised version and update the "Last updated" date. Continued use after changes constitutes acceptance where permitted by law.
